01 Introduction and acceptance
These Terms & Conditions govern the general business relationship between Innovative Design Express (IDE), Karachi, Sindh, Pakistan, and clients who engage IDE for professional services. A quotation, proposal, invoice, statement of work or signed agreement may add project-specific terms. If project-specific written terms conflict with these website Terms, the project-specific written terms should control to the extent stated in that document.
02 Services
IDE may provide branding, graphic design, website design and development, UI/UX, application or digital product work, animation, motion graphics, digital marketing, social media services, AI-enabled creative solutions and other agreed digital services.
03 Quotations, proposals and electronic communications
Scope, fees, timelines and approvals may be recorded through quotations, proposals, invoices, email or other agreed electronic communications. Pakistan's Electronic Transactions Ordinance, 2002 provides a legal framework for electronic documents and communications; project parties should still keep clear records of approvals and agreed changes.
04 Payments
Deposits, advance payments, milestones, recurring fees, final payments and due dates are defined in the applicable commercial document. IDE may pause work or withhold final transfer where an amount is overdue and the applicable agreement permits it. Bank, payment-provider, currency-conversion or tax charges are handled as stated in the relevant invoice or agreement.
05 Project scope, revisions and additional work
The approved proposal, quotation or statement of work defines the project scope. Revision allowances are not unlimited unless expressly stated. Work outside scope may require a new quotation, additional fee, timeline adjustment and written approval before work begins.
06 Client responsibilities
Clients are responsible for timely content, brand assets, access credentials, approvals, feedback, technical information and payments requested for the project. Clients must have the legal right to provide materials they ask IDE to use and must not knowingly instruct IDE to use unlawful, infringing or misleading content.
07 Timelines, approvals and delays
Timelines depend on timely client feedback, approvals, access, content and payments. A substantial client delay may move the project to a later available production slot. Written approval of a stage may be treated as approval to proceed to the next stage where the project agreement says so.
08 Intellectual property and licences
Client-supplied materials remain subject to the client's rights and responsibilities. Ownership or licence rights in final IDE deliverables transfer only as stated in the applicable project agreement and after required payments. Fonts, stock media, plugins, software, APIs and other third-party materials remain subject to their own licence terms. IDE does not transfer rights it does not own.
09 Portfolio and confidentiality
Unless a confidentiality agreement or written restriction applies, IDE may request to display completed public-facing work in its portfolio, website, social media or case studies. Confidential information received for a project should be used only for legitimate project and business purposes and handled with reasonable care.
10 Websites, hosting and third-party services
Domains, hosting, APIs, plugins, SaaS services, advertising platforms and other third-party services are governed by their providers' terms, pricing, uptime, policies and technical limits. IDE is not responsible for a third party's independent outage, account suspension, pricing change or policy decision, except to the extent liability cannot lawfully be excluded.
11 Digital marketing and advertising spend
IDE's marketing package or management fee covers only the services stated in the agreed scope. Advertising or media spend is separate unless a written agreement expressly says it is included. The client is responsible for the agreed media budget and for maintaining lawful offers, claims, products and landing-page content.
12 Marketing performance
IDE does not guarantee a particular number of sales, leads, followers, rankings, reach, engagement, ROAS, revenue or other business result. Outcomes may depend on market conditions, competition, budget, audience, offer, pricing, website experience, platform algorithms, campaign duration, creative performance and other factors outside IDE's control.
13 Acceptable and lawful use
Clients and website users must not use IDE services or systems for unlawful access, fraud, harassment, malware, infringement, deceptive impersonation or other prohibited activity. Applicable Pakistani cybercrime law, including the Prevention of Electronic Crimes Act, 2016 as amended from time to time, may apply to unlawful conduct involving information systems or data.
14 Consumer rights
Where a transaction is covered by mandatory consumer-protection law, those non-waivable rights continue to apply. For consumers in Sindh, the Sindh Consumer Protection Act, 2014 may be relevant depending on the nature of the transaction and the parties involved.
15 Cancellation, refunds and suspension
Cancellation and refunds are governed by the applicable project terms together with IDE's Cancellation Policy and Refund Policy. IDE may suspend work where contractually permitted, including for unresolved payment obligations, unlawful instructions or material failure to provide required access or approvals.
16 Limitation of liability
To the maximum extent permitted by applicable law, each party should be responsible for losses that are reasonably connected to its own breach, negligence, unlawful conduct or agreed obligations. Nothing in these Terms is intended to exclude liability or rights that cannot legally be excluded under applicable Pakistani law.
17 Governing law and disputes
These Terms are governed by the applicable laws of Pakistan. Subject to any agreed arbitration, mediation or other dispute-resolution clause in a project-specific agreement, disputes connected with IDE's services should be brought before courts of competent jurisdiction in Karachi, Sindh, unless mandatory law requires otherwise. Parties are encouraged to attempt good-faith written resolution before formal proceedings.
18 Changes and contact
IDE may update these Terms when its services or legal requirements change. The current revision date appears on this page. Questions may be sent to hello@innovativedesignexpress.com or to Office 02, Paradise Apartments, Block 7, Federal B. Area, Karachi, Sindh, Pakistan.
